Welcome to the Bluefish Home, LLC (Bluefish Trading) web site ("Our Site"), the site operated by Bluefish Home. This is the user agreement that governs your use of the site ("Agreement").

TERMS and CONDITIONS

 Customer Service Policy: Bluefish Home (“BFH”) takes great pride in its furniture, artwork and accessory collections (“Products”) and in our Customers’ satisfaction with such. Manufacturing/Care: Our Products are handmade/finished. Due to the nature of the accompanying processes, variations in color, finish and other Product specifications may occur. These are not considered defects but further enhancements to the unique nature of the Product. Furniture products are delivered with our “care guidelines” and it is suggested that these be followed to retain the integrity and beauty of the piece(s).

Price List: BFH reserves the right to discontinue or add Product or to change prices, specifications and delivery procedures without notice.

Dimensions and Weights: Approximate weights (in pounds) and sizes (in inches) are indicated on our website for your review.

Ordering: No minimum opening order for furniture for non-stocking dealers and $3,000 minimum for stocking dealers.  The minimum opening order for accessories is $300. Purchases from various product groups may be combined to meet the minimum. We do not grant open credit terms, and orders from first time customers must be accompanied by a ten percent (10%) deposit. A twenty five percent (25%) deposit is required to begin production on full container orders. Purchaser shall pay in full when placing order(s) for in-stock product. All orders will be acknowledged by BFH as soon as possible after placement. Please review your BFH order carefully upon receipt for accuracy and completeness including, pricing, shipping address, anticipated shipping dates and preferred carrier information and notify us promptly of any errors or requested revisions.

 Pricing Status: Stocking dealer pricing: To maintain stocking dealer pricing, a minimum of $5,000 in addition to the initial order must be purchased over a year. Year begins from the date of the initial order. Volume I: Requires minimum reorder of $5,000 of merchandise to continue to receive Volume I pricing. Volume II: Required minimum reorder $10,000 of merchandise to continue to receive Volume II pricing.

 Payment Terms: All orders must be paid-in-full before release for delivery from our fulfillment center. We accept Visa, MasterCard, American Express, wire transfers and checks. We do not offer COD. (Please note that container and volume discount orders/invoices must be paid via wire or check only.)

 Shipping: With the exception of full container purchases, Products ship from our fulfillment center, FOB, High Point, North Carolina. Product becomes Purchaser’s property once it leaves BFH’s fulfillment center, and all shipments are made at Purchaser’s risk. Freight charges are the responsibility of the Purchaser and should be paid directly to the carrier. Purchaser must advise BFH as to both a method/carrier and delivery route at the time of order placement. Purchaser shall also advise both BFH and the independent carrier if there are special circumstances surrounding the delivery (e.g. absence of dock, residential delivery, up or down stairs with no elevator, etc.) BFH product is well packaged and does not require “blanket wrapped” handling. However, shipments cannot be made via common carrier or consolidators. If Purchaser specifies such a carrier, BFH will require a release from all responsibility related to any issues with the Product, detected upon receipt or in the future. BFH will attempt to comply with all other reasonable special instructions and delivery requests as long as they do not conflict with our terms and conditions.

Full containers are purchased FOB/Ex-works, international factory with title and risk of loss passing to Purchaser upon release from international factory and all related import costs the responsibility of Purchaser.

 Additional Accessory Shipping Guidelines: Orders with aggregate Product value in excess of $1,000 will be palletized, when possible, and the related costs are included in the purchase price. Orders for less than $1,000 and/or orders that cannot be shipped on a pallet will be accompanied by an eight percent (8%) of the Product value packaging and handling charge which must be paid before delivery. Freight charges are the responsibility of the Purchaser and should be paid directly to the carrier. Dock charges may also apply when pallets are being received by or on behalf of Purchaser; these should also be paid directly to the provider.

 Backorders/Partial Shipments: Occasionally, items are backordered due to manufacturing and delivery nuances. In addition, it is BFH’s policy to ship less than a complete order if the majority of the related pieces are available. If you do not accept backorders or partial shipments, please request “ship complete only” at the time of order placement.

 Cancellations/Revisions/Returns: An order, once received and acknowledged by BFH is considered valid and binding. Except if Product is not available for shipping for an extended period of time, cancellations are not accepted. Order revisions will be valid only with BFH’s written authorization. Returns are not accepted.

 Available to Ship/Storage Charges: Purchaser will be notified when orders are ready for shipment, and payment in full should be made as quickly as possible thereafter. If postponement of payment occurs, at BFH’s sole discretion, orders delayed for shipping past thirty (30) days may be cancelled by BFH with the related Product returned to inventory for sale to other customers and the associated deposit forfeited. For orders where Purchaser requests (in writing) that Product available to ship be held, BFH will do so until the end of the related month. Storage charges of 5% per month of the item price will accrue thereafter. These charges will be due and payable BEFORE the order is released and will be pro-rated for partial months that Products remain in BFH’s distribution center.

 Damages and Freight Claim Procedures: Please inspect all products in your shipment thoroughly upon arrival. Please note any damages/shortages on the bill of lading before you sign for receipt of the shipment. All freight claims must be addressed by the Purchaser directly to the independent carrier but should also be reported to our Customer Service Department within five (5) days of receipt. For damaged Products, we suggest Purchaser retain the original packaging until the issue is resolved and take digital photographs depicting all damage. Written authorization must be received from BFH before damaged Product may be returned for repair/replacement.

 Contingencies/Delays: Deliveries may be contingent upon BFH’s receiving shipment of Product from outside the United States. BFH shall not be responsible for any failure or delay in delivery due to any cause beyond its control including, without limitation, labor difficulties, accidents, contingencies of transportation, import restrictions, fires, floods, war, default or failure of its suppliers, governmental actions or other causes of like or different character (whether or not contemplated by either party) beyond BFH’s control. BFH may also allocate its available Product among any or all of its Purchasers on such basis as BFH, in its sole discretion may determine, without liability for any failure to perform.

 Validity: A Purchase Order is valid and binding upon receipt by BFH of a signed copy by Purchaser, regardless of the medium by which the signed Purchase Order is transmitted to BFH.

 Designs: All designs are fully protected under copyright laws of the United States and other countries, and Product may not be reproduced without prior written authorization from BFH.

 Trademark: No right to the use of any trademark or trade name of Bluefish Home is granted to Purchaser under this Purchase Order, and Purchaser agrees to refrain from using, directly or indirectly, any of Bluefish Home’s trademarks or trade names unless and to the extent authorized prior to any such use, by BFH, in writing.

 Warranties: There are no warranties which extend beyond the description of the face hereof (if any.) No express warranties and no implied warranties, whether of merchantability or fitness for any particular use or otherwise (except as to title) shall apply to Products sold by BFH.
